2 MS. FRANKS: Okay. We're ready.
3 MR. MCNARY: All right. Mr. Chairman, we
4 have a quorum, and the Commission is all --
5 CHAIRMAN SHULL: Perhaps we should call the
6 roll, then, shouldn't we?
7 COMMISSIONER JONES: Yes.
8 COMMISSIONER HAIS: Yes.
9 CHAIRMAN SHULL: Do you want to call the
10 roll, Angie?
11 MS. FRANKS: Chairman Shull?
12 CHAIRMAN SHULL: Present.
13 MS. FRANKS: Commissioner Jones?
14 COMMISSIONER JONES: Present.
15 MS. FRANKS: Commissioner Hais?
16 COMMISSIONER HAIS: Present.
17 MS. FRANKS: Commissioner Plunkett?

19 CHAIRMAN SHULL: And I guess we'll go ahead
20 and get started with the business. We're just looking at
21 some proposed amendments and changes in the minimum internal
22 control standards. Gene, I'll just turn it over to you, if
23 you want to go through them.
24 MR. MCNARY: Well, I don't know that we need
25 to go through them.

1 CHAIRMAN SHULL: Okay.
2 MR. MCNARY: This is consideration of
3 proposed rules and amendments. And it's quite a thick stack
4 of proposals.
5 CHAIRMAN SHULL: Well, I believe everyone
6 has read them. And it's my understanding that we're just
7 going to go ahead and approve having these published, and
8 that there probably will be comments coming along. And then
9 there will be a final determination made after we receive
10 the comments.
11 MR. MCNARY: That's correct.
12 CHAIRMAN SHULL: Is that right?
13 MR. MCNARY: That's correct.
14 MS. FRANKS: Yes.
15 COMMISSIONER JONES: I have a question. You
16 know, on each one of the sections there, the line that says,
17 “A public hearing is scheduled for May,” is that still valid?
18 Will that still be valid? Will the public hearing be in
19 May? Or because of the time that we've spent trying to
20 approve this, is that going to be pushed?
21 MS. FRANKS: I believe it will be in May.
22 COMMISSIONER JONES: Okay.
23 CHAIRMAN SHULL: So we can go ahead and get
24 them published, then, in April?
25 MS. FRANKS: The secretary --

1 CHAIRMAN SHULL: Or in March. You're going
2 to have them published in March?
3 MS. FRANKS: No. The Secretary of State's
4 Office, I believe, will have them published by April 1st.
5 They do the publishing of them.
6 CHAIRMAN SHULL: Okay. And it's a 30-day
7 publication?
8 MS. FRANKS: Yes.
9 CHAIRMAN SHULL: So Darryl's question about
10 being able to have the hearing in May appears reasonable,
11 then?
12 MS. FRANKS: Yes. We have the 30-day
13 comment period, and then we have a public hearing after the
14 comment period has ended.
15 COMMISSIONER JONES: Okay.
16 CHAIRMAN SHULL: Are there any other
17 questions?
18 COMMISSIONER JONES: No.
19 CHAIRMAN SHULL: Gene, do you have a
20 recommendation?
21 MR. MCNARY: Yes. Mr. Chairman, we -- the
22 staff recommends that these proposed rules and amendments be
23 passed, that there be a favorable vote to move them forward
24 for publication and public comment.
25 CHAIRMAN SHULL: Is there any further

1 discussion on it? Is there a motion?
2 COMMISSIONER HAIS: Mr. Chairman, I move
3 that the proposed rules be approved.
4 COMMISSIONER JONES: I'll second.
5 CHAIRMAN SHULL: Is there further
6 discussion? Call the roll, please.
7 MS. FRANKS: Chairman Shull?
8 CHAIRMAN SHULL: Approved.
9 MS. FRANKS: Commissioner Jones?

13 MS. FRANKS: Commissioner Plunkett?

15 MS. FRANKS: By your vote, you've adopted
16 11 CSR45-1.090, 11 CSR45-5.051, 11 CSR45-5.183, 11
17 CSR45-5.184, 11 CSR45-5.185, 11 CSR45-5.265, 11 CSR45-8.130,
18 and 11 CSR45-9.030.
19 CHAIRMAN SHULL: Is there any other
20 business?
21 MR. MCNARY: No other business on the
22 agenda, Mr. Chairman.
23 CHAIRMAN SHULL: Well, I have a comment.
24 I'm just looking at the financial markets today, and the Dow
25 is down 480. That's not 4.80. That's 480.

1 COMMISSIONER HAIS: Thanks to our friends, the
2 Chinese.
3 MR. MCNARY: Is that the reason? What's
4 the --
5 COMMISSIONER HAIS: Well, engaged in profit taking
6 at the height of their market.
7 CHAIRMAN SHULL: Well, I just thought
8 everyone would want to know that.
9 MR. MCNARY: Yeah. That wasn't --
10 COMMISSIONER HAIS: Yeah. Thanks a lot, Gene.
11 MR. MCNARY: That wasn't on our agenda.
12 COMMISSIONER HAIS: Gene, can you lend me 20 until
13 payday?
14 MR. MCNARY: Yeah.
15 COMMISSIONER HAIS: That's right.
16 MR. MCNARY: It's --
17 CHAIRMAN SHULL: Well, Gene, is there
18 anything else?
19 MR. MCNARY: No. And we appreciate your
20 being available for a conference call. It enables us to get
21 this moved while it's still in February, and we can get it
22 over to the Secretary of State tomorrow which saves probably
23 30 days on the length of the process. So we appreciate your
24 being available to move it forward.
25 CHAIRMAN SHULL: Well, if there's a motion

2 COMMISSIONER PLUNKETT: I'll make a motion.
3 COMMISSIONER HAIS: I'll second it.
